These Terms & Conditions (“Terms”) govern your access to and use of the website, online services, ERP modules, and any related platforms (“Site”) operated by Selectronx Technologies Private Limited (“Company”, “we”, “our”, “us”).

By using our Site or engaging our Services, you agree to these Terms.

If you do not agree, please discontinue use immediately.

1. Scope of Services

The Company provides professional services including but not limited to:

1.1 Design & Development

  • Product Design: DFM, DFA, Industrial Design

  • Mechanical Design: 3D CAD, prototyping support

  • Electronics Design: PCB layout, BOM creation

  • Software & Firmware development

1.2 Prototyping & Fabrication

  • CNC Milling (3, 4, 5 axis)

  • CNC Lathe machining

  • 3D Printing (FDM, SLA, SLS)

  • Sheet Metal Fabrication

  • Electronics: PCB manufacturing, assembly, wiring, enclosure fabrication

  • Molding: Injection molding

1.3 Testing & Validation

  • Mechanical and environmental testing (vibration, thermal, impact)

  • Electronics testing (I/O, power, EMI/EMC)

  • Certification preparation: CE, FCC, RoHS

These services may evolve or expand over time without prior notice.

2. User Accounts & Platform Access

2.1 Eligibility

  • You must be at least 18 years old.

  • You must provide accurate and complete registration details.

2.2 Account Responsibility

You are responsible for:

  • Maintaining confidentiality of your login credentials

  • All activity that occurs under your account

  • Ensuring your content does not violate laws or third-party rights

Notify us immediately if you suspect unauthorized use.

2.3 User-Generated Content

Users may post blogs, ideas, discussions, media, or documents.

You confirm that:

  • You own the rights to the content you upload

  • You grant the Company a non-exclusive license to display and store your content on the platform

  • Content must not be illegal, defamatory, confidential, or infringe IP rights

We reserve the right to remove content at our discretion.

3. Engagement for Services

3.1 Quotations & Proposals

Any quotation or proposal issued by the Company:

  • Is valid for the time period mentioned

  • May change if scope, materials, or requirements change

3.2 Orders & Project Commencement

A project begins only after:

  • Written approval or purchase order

  • Receipt of required documentation or inputs

  • Initial payment (if applicable)

3.3 Deliverables

Deliverables may include designs, prototypes, CAD data, PCBs, test reports, firmware, or digital files.

Unless otherwise agreed, timelines are estimates and may vary based on complexity, material availability, or third-party dependencies.

4. Intellectual Property

4.1 Ownership

  • All intellectual property created during a project remains the property of the Company until full payment is received.

  • Upon full payment, IP may be transferred to the client as per the specific agreement.

4.2 Pre-Existing IP

Any tools, libraries, templates, circuits, code, or design methodologies already owned by the Company remain its exclusive property.

4.3 User Submissions

When you upload ideas, requirements, or documents:

  • You confirm lawful ownership

  • You grant the Company the right to use such materials for delivering services

The Company does not claim ownership over user-submitted ideas unless agreed contractually.

5. Confidentiality

The Company will treat client data, designs, prototypes, and project information as confidential.

Both parties agree to:

  • Use confidential information only for the project

  • Not disclose it to third parties without written consent

Exceptions apply when disclosure is required by law or government authority.

6. Payments & Fees

6.1 Payment Terms

Payment terms will be specified in the proposal or invoice.

Typical structure may include:

  • Advance payment

  • Milestone-based payments

  • Final settlement before release of deliverables

6.2 Taxes

Prices exclude applicable taxes unless stated otherwise.

6.3 Non-Payment

The Company may suspend services or withhold deliverables until dues are cleared.

7. Quality, Warranty & Limitations

7.1 Service Warranty

The Company will execute services with reasonable skill and industry-standard practices.

7.2 Prototype & Fabrication Disclaimer

Prototypes, pre-production samples, and experimental builds:

  • May vary from final production units

  • Are not guaranteed for long-term performance

7.3 Testing & Certification

Testing and validation results are based on available data and conditions.

Certification bodies make their own independent decisions; the Company provides support but cannot guarantee outcome.

7.4 Liability Limitations

To the fullest extent permitted by Indian law:

  • The Company is not liable for indirect, consequential, or incidental damages

  • Maximum liability is limited to the amount paid for the specific project

8. User Conduct on the Site

You agree not to:

  • Upload harmful or malicious files

  • Attempt unauthorized access

  • Interfere with site functionality

  • Post abusive, illegal, or offensive content

  • Reverse engineer or copy the platform

Violation may lead to suspension or termination of your account.

9. Third-Party Links & Tools

Our Site may contain links or integrations with third-party tools.

We are not responsible for:

  • Content or practices of third-party sites

  • Availability or performance of external services

Use them at your own risk.

10. Privacy

Your use of the Site is also governed by our Privacy Policy.
